The terms and conditions that govern your use of our website and services.
1. Acceptance of Terms
These Terms of Use ("Terms") constitute a legally binding agreement between you and Social Traffic Inc. ("we", "us", "our") governing your access to and use of the website at socialtraffic.ca and the SiteTacks dashboard application (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.
2. Eligibility
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use the Service. By using the Service, you represent and warrant that you meet these requirements. If you are accessing the Service on behalf of a business or other entity, you represent that you have the authority to bind that entity to these Terms.
3. Description of Service
Social Traffic provides digital marketing and SEO services for local businesses, including but not limited to:
- SEO website auditing and analysis tools
- Google Search Console data integration and reporting
- AI-powered chat and voice AI demonstrations
- Content creation and blog management tools
- CRM integration and lead management
- Marketing strategy consulting and implementation
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will make reasonable efforts to notify active subscribers of material changes to paid features.
4. User Accounts
4.1 Registration
To access certain features of the Service, you must create an account. You may register using your email address or through Google OAuth. You agree to provide accurate, current, and complete information during registration.
4.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We implement security measures including Argon2 password hashing, brute force protection, and encrypted token storage, but we cannot guarantee absolute security.
4.3 Account Termination
You may delete your account at any time by contacting us. We may suspend or terminate your account if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or pose a security risk to the Service.
5. Free Tools & Services
Certain features of the Service are available without an account or paid subscription, including our free SEO audit tool, AI voice demo, and chat widget. These free tools are provided "as is" without any guarantee of availability, accuracy, or completeness.
Free tools may have usage limits, including rate limiting, to ensure fair access for all users. We reserve the right to modify or discontinue free tools at any time without notice.
6. Paid Subscriptions
6.1 Pricing & Billing
Paid features are available through monthly or annual subscription plans. Current pricing is displayed on our pricing page. All payments are processed securely through Stripe. We do not store your credit card information.
6.2 Subscription Renewal
Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You will be charged at the then-current rate. We will provide reasonable notice of any price changes before your next renewal.
6.3 Cancellation & Refunds
You may cancel your subscription at any time from your dashboard or by contacting us. Upon cancellation, you retain access to paid features until the end of your current billing period. Refunds are handled on a case-by-case basis at our discretion. Annual subscriptions may be eligible for a prorated refund within the first 30 days.
7. Acceptable Use
You agree not to use the Service to:
- Violate any applicable local, provincial, national, or international law or regulation
- Impersonate any person or entity, or falsely represent your affiliation with a person or entity
- Submit false, misleading, or fraudulent information
- Scan, audit, or analyze websites you do not own or have authorization to analyze
- Attempt to gain unauthorized access to other users' accounts, data, or the Service's infrastructure
- Use automated scripts, bots, or tools to access the Service beyond the provided API
- Interfere with or disrupt the Service, servers, or networks connected to the Service
- Reverse-engineer, decompile, or disassemble any part of the Service
- Use the Service to send unsolicited communications (spam)
- Upload malicious code, viruses, or any form of harmful content
- Resell, redistribute, or sublicense access to the Service without our written consent
We reserve the right to investigate and take appropriate action, including suspending or terminating your account, for violations of this section.
8. Intellectual Property
8.1 Our Intellectual Property
The Service, including its design, code, features, content, logos, and trademarks, is owned by Social Traffic Inc. and is protected by Canadian and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose while your account is active.
8.2 Your Content
You retain ownership of any content you submit through the Service (e.g., URLs for scanning, chat messages, business information). By submitting content, you grant us a non-exclusive, worldwide license to use, process, and store that content solely to provide and improve the Service.
8.3 AI-Generated Content
Content generated by our AI features (including chat responses, blog drafts, and SEO recommendations) is provided for your use. You are responsible for reviewing, editing, and verifying all AI-generated content before publishing or relying on it. We do not guarantee the accuracy, originality, or legal compliance of AI-generated content.
9. Third-Party Integrations
The Service integrates with third-party platforms including Google Search Console, Stripe, and various AI providers. Your use of these integrations is subject to the respective third party's terms of service. We are not responsible for the availability, accuracy, or practices of any third-party service.
When you connect a third-party account (such as Google Search Console), you authorize us to access and process data from that service on your behalf, as described in our Privacy Policy. You may disconnect any integration at any time from your dashboard.
10. SEO Audit & Analysis Disclaimer
Our SEO audit tools analyze publicly available website data and provide recommendations based on industry best practices. SEO results are inherently uncertain and depend on many factors outside our control, including search engine algorithm changes, competitor activity, and market conditions.
We do not guarantee any specific ranking improvements, traffic increases, or business outcomes from using our tools or following our recommendations. SEO audit scores and reports are for informational purposes only and should not be relied upon as the sole basis for business decisions.
11. AI Services Disclaimer
Our AI-powered features, including the chat widget, voice AI demo, and content generation tools, use third-party AI models (Anthropic Claude, OpenAI) to generate responses and content. AI-generated content may contain inaccuracies, biases, or errors.
- AI responses are not professional advice (legal, medical, financial, or otherwise)
- AI voice demos use synthesized voice technology and are clearly identified as AI-generated
- Content generated by AI features should be reviewed and edited before use
- We do not guarantee the availability, consistency, or accuracy of AI features
- Conversations with AI features may be reviewed to improve service quality
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOCIAL TRAFFIC INC. AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
13. Indemnification
You agree to indemnify, defend, and hold harmless Social Traffic Inc. and its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of another party
- Content you submit through the Service
- Your use or reliance on AI-generated content
14. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.
Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may submit the dispute to binding arbitration in Ontario, Canada, or pursue resolution in the courts of Ontario, Canada. You agree to submit to the personal jurisdiction of the courts located in Ontario, Canada.
15. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated by posting the updated Terms on this page and updating the "Last Updated" date. For active subscribers, we will provide at least 30 days' notice of material changes via email.
Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Service.
16. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
17. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Social Traffic Inc. regarding your use of the Service. These Terms supersede all prior agreements, communications, and understandings, whether written or oral, relating to the subject matter hereof.
